These Terms of Service (“Terms”) govern your use of OPERO, an online back-office platform for live event companies, available at opero.events, account.opero.events and workspace addresses ending in .opero.events (the “Service”).
1. Who we are
The Service is provided by Ofski, MB, a small partnership registered in the Republic of Lithuania:
- Company code: 304215619
- VAT code: LT100017401918
- Registered address: Naugarduko g. 26-13, LT-03225 Vilnius, Lithuania
- Email: support@opero.events
In these Terms, “we”, “us” and “our” mean Ofski, MB.
2. Definitions
- Account: the customer account that holds one or more Workspaces and their billing. An Account has exactly one owner and may have admins.
- Workspace: a separate OPERO environment for one company or person, with its own address (for example
yourcompany.opero.events) and its own data. - Customer or you: the company or the individual who creates an Account and accepts these Terms. If you accept these Terms on behalf of a company, you confirm that you are authorised to bind it.
- User: a person invited by the Customer to use a Workspace.
- Customer Data: all data that the Customer or its Users enter into or upload to a Workspace.
- Consumer: a Customer who is a natural person acting for purposes outside their trade, business or profession.
3. Accounts and eligibility
3.1. The Service is available to companies and to individuals. You must be at least 18 years old.
3.2. You must give accurate sign-up information and keep it current. Each person must use their own login. You are responsible for keeping login details secure and for everything done through your Account and Workspaces, including by your Users.
3.3. You decide who has access to your Workspaces and with which permissions. You are responsible for your Users’ compliance with these Terms.
3.4. Tell us at once at support@opero.events if you suspect unauthorised access to your Account.
4. Free trial
4.1. A new Account may start one free trial of 14 days per Account, with full features and no payment card required.
4.2. If no paid plan is chosen by the end of the trial, the Workspace is locked. You can still sign in and choose a plan. A locked trial Workspace and its data are permanently deleted 30 days after the trial ends.
4.3. We may refuse or end a trial that we reasonably believe is being abused, for example repeated trials for the same organisation.
5. Plans, prices and payment
5.1. Each Workspace has its own subscription. Plans, prices and what is included are shown on the pricing page at opero.events/pricing or in the Service at the time of purchase.
5.2. Subscriptions are billed in advance for each billing period and renew automatically until cancelled. Prices are shown with or without VAT as stated. VAT and other taxes are added where they apply.
5.3. Payments are processed by our payment provider, Stripe. We do not store full card or bank account details. Invoices are issued electronically and available in the Service.
5.4. We may change prices. We will tell you at least 30 days before a price change applies to your next billing period. If you do not agree, you may cancel before the change takes effect.
6. Late or failed payment
6.1. If a payment fails, we will retry it and notify you for up to 14 days.
6.2. If it is still unpaid after that, the Workspace becomes read-only for 7 days. You can still view and export your data.
6.3. After that, the Workspace is locked until the overdue amount is paid.
6.4. A Workspace that remains locked for non-payment is permanently deleted, with its data, 60 days after it was locked. We will send a reminder before deletion.
7. Cancellation
7.1. You can cancel a subscription at any time in the Service. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded, except where the law requires it or as set out in clause 7.3.
7.2. After a subscription ends, the Workspace is kept for 30 days so you can export your data. It is then permanently deleted.
7.3. Consumers’ right of withdrawal. If you are a Consumer, you may withdraw from a paid subscription within 14 days of concluding it without giving a reason, by telling us at support@opero.events. If you asked us to start providing the paid Service during the withdrawal period, you must pay for the part of the Service provided until you withdraw. We will refund any remaining amount within 14 days using the same payment method.
8. Acceptable use
You must not, and must not allow anyone to:
- break the law, or infringe the rights of others, through the Service;
- upload malware, or try to gain unauthorised access to the Service, other Workspaces or our systems;
- probe, scan or test the Service’s vulnerabilities without our written permission;
- overload the Service, or use automated means to access it except through features or APIs we provide;
- resell or sublicense the Service without our written agreement;
- use the Service to send spam or unlawful marketing;
- store special categories of personal data (for example health data) in the Service unless you have a lawful basis and have taken the necessary measures.
9. Customer Data
9.1. You own your Customer Data. You give us the right to host, copy, process and display it only as needed to provide, secure and support the Service.
9.2. Where Customer Data includes personal data, we process it as your processor under our Data Processing Agreement (DPA), which forms part of these Terms: opero.events/dpa.
9.3. You can export your Customer Data while your Workspace is active, read-only, or within the export periods in clauses 4 and 7.
9.4. We keep backups to protect against data loss. Deleted data may remain in encrypted backups for a limited period until those backups expire. It is not restored except to recover from an incident.
10. AI features
10.1. The Service includes features that use artificial intelligence, such as an assistant and automatic data processing. AI output may be incomplete or wrong. You are responsible for checking it before relying on it.
10.2. AI features send the relevant content to an AI model provider to generate the output. Where you connect your own AI provider key, your use of that provider is also governed by that provider’s terms.
10.3. We do not use your Customer Data to train AI models.
11. Availability, changes and support
11.1. We aim to keep the Service available and working well, but we do not guarantee uninterrupted or error-free operation unless agreed in writing.
11.2. We update the Service regularly. Routine updates normally run at night (around 03:00 Vilnius time) and may cause short interruptions.
11.3. We may change or remove features. If a change materially reduces the core functionality of a paid plan, we will tell you in advance. You may cancel and receive a proportionate refund of fees prepaid for the remaining period.
11.4. Support is provided by email at support@opero.events.
12. Intellectual property
The Service, its software, design and content (other than Customer Data) belong to us or our licensors. We give you a non-exclusive, non-transferable right to use the Service during your subscription or trial in line with these Terms. Feedback you give us may be used freely to improve the Service.
13. Third-party services
The Service may connect to third-party services (for example payment, ticketing or AI providers). Your use of those services is governed by their own terms. We are not responsible for third-party services we do not control.
14. Suspension
We may suspend access to the Service, in whole or in part, if:
- this is needed to protect the Service, other customers or our systems;
- you seriously or repeatedly breach these Terms; or
- the law requires it.
Where reasonable, we will tell you in advance and give you a chance to fix the problem.
15. Warranties and liability
15.1. Except as expressly stated in these Terms, the Service is provided “as is”, to the extent permitted by law.
15.2. Neither party is liable for indirect or consequential loss, including loss of profit, revenue or goodwill, to the extent permitted by law.
15.3. Our total liability under these Terms in any 12-month period is limited to the fees you paid for the Service in that period.
15.4. Nothing in these Terms limits liability that cannot be limited by law, including liability for intent or gross negligence, or the statutory rights of Consumers.
16. Termination
16.1. You may close your Account at any time by cancelling all subscriptions and asking us to delete it.
16.2. We may terminate these Terms for a material breach that is not fixed within 14 days after notice, or at once for a serious breach (for example illegal use). We may also end the Service as a whole with at least 90 days’ notice and a proportionate refund of prepaid fees.
16.3. On termination, clauses 7.2, 9, 12, 15 and 18 continue to apply.
17. Changes to these Terms
We may update these Terms. For material changes we will notify Account owners by email at least 30 days before they take effect. If you do not agree, you may cancel before the changes take effect. Otherwise, continued use after that date means you accept them.
18. Governing law and disputes
18.1. These Terms are governed by the law of the Republic of Lithuania.
18.2. Disputes are resolved by the courts of the Republic of Lithuania, in Vilnius.
18.3. If you are a Consumer, you also keep the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of that country. Consumers in Lithuania may also refer a dispute to the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba, www.vvtat.lt).
